These Terms of Service ("Terms") form a binding agreement between you ("you" or "User") and Seer Global Solutions Limited ("SGSL," "we," "us," or "our"), a Nigerian Private Limited Liability Company (RC 8064889) with its registered office at Utako, Federal Capital Territory, Abuja. They govern your access to and use of the website at seerglobalsolutions.com (the "Website"), any mobile or web application we make available (each, an "App"), and any related services we provide (together, the "Services").

By accessing or using the Services, you agree to be bound by these Terms and by our Privacy Policy, Cookie Policy, and Acceptable Use Policy, each of which is incorporated by reference. If you do not agree, do not access or use the Services.

1. About us

SGSL is a Nigerian Private Limited Liability Company duly registered with the Corporate Affairs Commission under RC 8064889, with its registered office in Utako, Federal Capital Territory, Abuja, Nigeria. SGSL is a subsidiary of Seer Group Inc., a Delaware C-Corporation.

2. Eligibility

To use the Services, you must be at least eighteen (18) years old and have the legal capacity to enter into a binding contract under the laws of the Federal Republic of Nigeria or the jurisdiction in which you reside. If you are using the Services on behalf of an organisation, you represent and warrant that you have authority to bind that organisation to these Terms, and references to "you" include that organisation.

3. Accounts

Some Services require you to register for an account. When you register, you agree to:

  • Provide accurate, current, and complete information
  • Keep your account information up to date
  • Maintain the confidentiality of your credentials and not share them with third parties
  • Take responsibility for all activities that occur under your account
  • Notify us promptly at security@seerglobalsolutions.com of any suspected unauthorised access

You may close your account at any time as described in our Privacy Policy.

4. Use of the Services

You agree to use the Services only for lawful purposes and in compliance with these Terms, our Acceptable Use Policy, and all applicable laws and regulations (including the Cybercrimes (Prohibition, Prevention, etc.) Act, the Nigeria Data Protection Act, and any laws applicable to your industry or location).

Without limiting the Acceptable Use Policy, you agree not to:

  • Use the Services in any unlawful, fraudulent, deceptive, or harmful manner
  • Attempt to gain unauthorised access to any portion of the Services, related systems, or other users' accounts
  • Interfere with or disrupt the integrity or performance of the Services, including by introducing malware or executing denial-of-service attacks
  • Scrape, harvest, or otherwise collect information from the Services by automated means without our prior written consent
  • Reverse-engineer, decompile, or disassemble any portion of the Services, except to the extent expressly permitted by applicable law
  • Misrepresent your identity or affiliation with any person or entity
  • Infringe the intellectual property, privacy, or other rights of any third party

5. Intellectual property

All content forming part of the Services — including text, graphics, logos, designs, source code, software, and the look and feel of the Website and Apps — is the property of SGSL or its licensors and is protected by copyright, trademark, and other applicable intellectual property laws.

Subject to your compliance with these Terms, SGSL grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Services for their intended purpose. Nothing in these Terms grants you any right to use SGSL's name, logos, or trademarks without our prior written permission.

6. User content

The Services may allow you to submit, upload, or transmit information, files, or materials ("User Content"). As between you and SGSL, you retain all rights in your User Content. You grant SGSL a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, modify (only as necessary for technical operation), and display your User Content solely for the purpose of providing and improving the Services.

You represent and warrant that you own or have the necessary rights to your User Content and that your User Content does not violate these Terms, applicable law, or any third-party rights.

7. Engagements & service contracts

Use of the Website or Apps does not, in itself, create any contractual relationship for the delivery of custom services. Any engagement of SGSL for software development, consulting, integration, or other professional services is governed by a separate written agreement executed between SGSL and the client (a "Service Agreement"). The terms of a Service Agreement will prevail over these Terms with respect to the engagement to which it relates, except where a Service Agreement expressly states otherwise.

8. Fees & payment

Where a Service is offered for a fee, the applicable fees, billing cycle, and payment terms will be set out at the point of order or in a Service Agreement. Unless stated otherwise, fees are quoted exclusive of taxes (including Nigerian Value Added Tax, where applicable). You authorise us, or our payment processor, to charge your designated payment method for amounts due. Late payments may attract interest at the maximum rate permitted by applicable law.

9. Third-party services

The Services may interoperate with, or contain links to, third-party websites, applications, or resources (including authentication providers, payment processors, app stores, and social platforms). SGSL does not control, endorse, or assume responsibility for any third-party content, products, or services. Your interactions with any third party are solely between you and that party and may be governed by separate terms.

10. Disclaimers

The Services and all content made available through them are provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, statutory, or otherwise, including (without limitation) implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and quiet enjoyment.

Without limiting the foregoing, SGSL does not warrant that the Services will be uninterrupted, error-free, secure, or free from viruses or other harmful components, that defects will be corrected, or that the Services will meet your specific requirements. Any reliance you place on information made available through the Services is at your own risk.

11. Limitation of liability

To the maximum extent permitted by applicable law, in no event shall SGSL, its parent, affiliates, officers, directors, employees, agents, or licensors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages — including (without limitation) loss of profits, revenue, business, goodwill, data, or anticipated savings — arising out of or in connection with your access to or use of (or inability to access or use) the Services, even if SGSL has been advised of the possibility of such damages.

In any event, SGSL's aggregate liability arising out of or in connection with these Terms or your use of the Services shall not exceed the greater of (a) the total amount of fees, if any, you have paid to SGSL in the twelve (12) months immediately preceding the event giving rise to the claim, or (b) one hundred United States dollars (US$100). Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.

12. Indemnification

You agree to indemnify, defend, and hold harmless SGSL and its affiliates, officers, directors, employees, and agents from and against any claims, demands, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or in connection with (a) your access to or use of the Services, (b) your User Content, (c) your violation of these Terms or any applicable law, or (d) your violation of any third-party right.

13. Suspension & termination

We may suspend, restrict, or terminate your access to the Services at any time, with or without notice, if we reasonably believe that you have breached these Terms or our Acceptable Use Policy, that continued access poses a security or legal risk, or that we are required to do so by applicable law. Upon termination, the rights granted to you under these Terms will end, but provisions that by their nature should survive termination (including intellectual property, disclaimers, limitations of liability, indemnification, and governing law) shall survive.

14. Privacy

Your use of the Services is also governed by our Privacy Policy and Cookie Policy, which describe how we collect, use, and protect personal information.

15. Governing law & disputes

These Terms, and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with them or their subject matter, shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict-of-laws principles.

Subject to the immediately following paragraph, the parties agree to the exclusive jurisdiction of the courts of the Federal Capital Territory, Abuja, Nigeria, save where a Service Agreement between SGSL and a client provides otherwise.

Before commencing formal proceedings, you agree to first attempt to resolve any dispute informally by contacting legal@seerglobalsolutions.com with a clear description of the dispute and the relief you are seeking. The parties shall negotiate in good faith for a period of at least thirty (30) days before either party commences formal proceedings.

16. Changes

We may revise these Terms from time to time. The "Last updated" date at the top reflects the most recent revision. Where revisions are material, we will take reasonable steps to notify you (for example, by posting a prominent notice on the Website or, where appropriate, by email). Your continued use of the Services after revised Terms are posted constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Services.

17. General

  • Entire agreement. These Terms (together with our Privacy Policy, Cookie Policy, Acceptable Use Policy, and any Service Agreement) constitute the entire agreement between you and SGSL with respect to the Services and supersede all prior or contemporaneous communications.
  • Severability. If any provision of these Terms is held to be invalid or unenforceable, that provision shall be enforced to the maximum extent permissible and the remaining provisions shall continue in full force and effect.
  • No waiver. Our failure to enforce any right or provision shall not be deemed a waiver of such right or provision.
  • Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with any merger, acquisition, financing, or sale of business assets.
  • Force majeure. Neither party shall be liable for any failure or delay in performance caused by circumstances beyond its reasonable control, including acts of God, war, civil disturbance, epidemic, regulatory action, internet or power outage, or third-party infrastructure failure.
  • Notices. Notices to SGSL should be sent to legal@seerglobalsolutions.com. Notices to you may be provided by email, in-Service notification, or posting on the Website.
  • Headings. Section headings are for convenience only and shall not affect the interpretation of these Terms.
